Qualifications
- Bachelor's degree in Law, Legal Studies, or a related field.
- Master's degree in Law (LLM), Corporate Law, International Law, Business Law, or a related discipline preferred
Experience
- 10+ years of relevant experience across legal advisory, contracts management, corporate law, regulatory affairs, or related legal fields.
- At least 4 years in managerial positions with responsibility for legal advisory, contract negotiations, and legal risk management activities.
- Experience within multinational organizations, development institutions, government entities, international organizations, financial institutions, or law firms.
- Demonstrated experience managing complex contractual arrangements, legal disputes, governance matters, and regulatory engagements.

Responsibilities:
§ Participate actively in the development of the function’s strategy and goals, as well as establish and drive the execution of initiatives and plans to meet them.
§ Determine the financial and staff requirements during the annual budgeting exercise, advocating for optimal resource allocation based on priorities.
§ Monitor the operational performance of the function, compare them to the established objectives and goals, whilst establishing periodic reports and reporting on them to superiors.
§ Refine and ensure proper documentation and implementation of all policies and procedures for the function.
Monitor subordinates’ performance and provide formal and informal feedback and counseling in order to maximize efficiency.
§ Lead the development and maintenance of AGFUND’s legal framework, including legal policies, standards, contract templates, and legal risk management approaches.
§ Oversee provision of strategic legal advice and legal due diligence support for AGFUND's projects, partnerships, financing activities, investments, governance matters, and strategic initiatives
§ Assess legal and regulatory implications of AGFUND’s activities, funding structures, investments, and strategic initiatives, providing recommendations to support informed decision-making.
§ Monitor legal and regulatory developments that may impact AGFUND and ensure appropriate actions are taken to mitigate risks, maintain compliance, and support organizational objectives.
Legal Risk Management & Dispute Resolution
§ Lead legal due diligence activities and provide legal input on projects, partnerships, financing activities, investments, and strategic transactions.
§ Oversee disputes, litigation, investigations, and arbitration proceedings, ensuring appropriate legal strategies and resolutions are pursued.
§ Ensure effective representation of AGFUND before judicial bodies, regulatory authorities, arbitration panels, and external stakeholders on legal matters.
§ Identify legal risks and recommend appropriate mitigation measures to safeguard AGFUND’s interests and reputation.
Contracts & Transactions
§ Oversee the drafting, review, negotiation, and management of legal agreements, including partnership agreements, MoUs, grant agreements, financing arrangements, investment-related documentation, and other contractual commitments.
§ Ensure effective review and management of contractual arrangements entered into by AGFUND to safeguard the organization’s interests and minimize legal exposure.
§ Provide legal support for treasury, investment, financing, banking, and strategic partnership activities.
Manage relationships with external legal advisors and counsel, ensuring cost-effective, timely, and high-quality legal support where specialized expertise is required.
